Master Invoices LLC provides users and companies with a streamlined system to create, manage, and send invoices using pre-built templates and customer records.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By registering or using the Platform, you represent and warrant that you meet these criteria.

4. Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

5. Use of the Platform

You agree not to:

  • Use the Platform for unlawful purposes;
  • Reverse-engineer, copy, or distribute any part of the Platform;
  • Introduce viruses or malicious code;
  • Violate applicable laws or regulations.

We may suspend or terminate your account if we believe you are in violation of these Terms.

6. Data Ownership and Usage Rights

All data, information, content, or materials you submit, upload, create, or transmit through the Platform ("User Data") remains your responsibility, but you grant Master Invoices LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, copy, store, modify, analyze, distribute, display, sell, transfer, or otherwise exploit your User Data for any purpose, including:

  • Internal operations, analytics, marketing, or advertising;
  • Sale or licensing of datasets to third parties;
  • Commercialization of user insights or content;
  • Research and development, including AI and machine learning;
  • Any legally permissible use.

You understand and agree that Master Invoices LLC may sell or transfer User Data to any party, at any time, without notice, unless otherwise prohibited by applicable law.

You waive all rights of attribution or moral rights associated with your User Data.

8. Modifications to the Terms

10. Disclaimers

The Platform is provided "as is" without warranty of any kind. We do not guarantee uptime, availability, or the accuracy of generated content or invoices.

11. Limitation of Liability

To the fullest extent permitted by law, Master Invoices LLC is not liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless Master Invoices LLC from any claims, damages, liabilities, or expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. You agree that any legal actions, claims, or disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in Franklin County, Ohio, unless otherwise required by applicable law.

14. Dispute Resolution

You agree to resolve any dispute, claim, or controversy arising out of or relating to your use of the Platform or these Terms through binding arbitration conducted in Franklin County, Ohio, in accordance with the rules of the American Arbitration Association. You expressly waive any right to a trial by jury or participation in any class action or representative proceeding. Notwithstanding the foregoing, Master Invoices LLC reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.
